Description
The Dodd-Frank Act adds a new Section 14A to the Exchange Act that will provide that companies approve executive compensation and disclose the compensation in the CD&A and compensation tables. The effect of this new regime will be the focus of this mp3 audio download program.
This program offers guidance on key issues facing public companies under the Dodd-Frank "Say on Pay" regime including:
drafting an effective CD&A in the "Say on Pay" environment;
recommending the frequency of future "Say on Pay" votes;
addressing disclosure issues and the exception to the shareholder advisory vote on
